Acceptance of these terms

By accessing or using the Site, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy, which is incorporated here by reference. We may update these Terms from time to time as described below.

Who we are

The Site is operated by NS Advisory Group Inc. under the Astra brand. References to “Astra” in these Terms mean NS Advisory Group Inc. as the operator of the Site and the Astra program.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that any information you provide is accurate and current.

The Site and our programs

The Site provides information about Astra, its Moments, the Astra Foundation, and opportunities to partner, sponsor, host or support charitable causes. It also lets you submit inquiries and applications.

Information on the Site is provided for general purposes and may change without notice. Nothing on the Site is an offer, and no application, inquiry or expression of interest creates any partnership, sponsorship, participation right or other agreement unless and until confirmed by Astra in a separate written agreement.

Applications and submissions

When you submit an application or inquiry, you agree to provide accurate and complete information. We review submissions at our sole discretion and may accept or decline any of them. Information you submit is handled in accordance with our Privacy Policy.

If you provide any content or materials to us, you grant Astra a non-exclusive, royalty-free license to use them as reasonably necessary to evaluate your submission and operate our programs.

Acceptable use

When using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Interfere with, disrupt or attempt to gain unauthorized access to the Site, its systems or other users' data.
• Scrape, harvest or collect information from the Site through automated means without our permission.
• Introduce viruses, malware or other harmful code.
• Infringe the intellectual property or other rights of Astra or any third party, or misrepresent your identity or affiliation.

Intellectual property

The Site and its content, including the Astra name and marks, text, graphics, design, and the arrangement of the foregoing, are owned by Astra and NS Advisory or their licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your personal, non-commercial use.

You may not copy, reproduce, distribute, modify or create derivative works from the Site without our prior written permission. Third-party names and logos that may appear on the Site, including those of partners and supported organizations, are the property of their respective owners and are used with permission or for identification purposes only.

Third-party content and links

The Site may reference or link to third-party websites, content and services. We do not control and are not responsible for them, and a link or reference does not imply our endorsement. Your use of third-party services is governed by their own terms and policies.

To the fullest extent permitted by law, Astra and NS Advisory, and their officers, employees and agents, will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or other intangible losses, arising out of or relating to your use of, or inability to use, the Site. Our total liability for any claim relating to the Site will not exceed one hundred US dollars (US$100).

Indemnification

You agree to indemnify and hold harmless Astra and NS Advisory from any claims, liabilities, damages and expenses (including reasonable legal fees) arising out of your use of the Site, your submissions, or your violation of these Terms or applicable law.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. Changes to the Site and these terms

We may modify or discontinue all or part of the Site at any time. We may also update these Terms from time to time; when we do, we will revise the “last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and Astra regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent; we may assign them in connection with a transfer of our business.
